IMPORTANT \u2013 READ CAREFULLY<\/strong>
This End User License Agreement (\u201cAgreement\u201d) is a legal agreement between you (either an individual or a single entity) and RealSense, Inc. (\u201cRealSense\u201d) regarding your use of the RealSense\u2122 ID software and related components, firmware, updates, and documentation (collectively, the \u201cSoftware\u201d). This Software is licensed, not sold, and is expressly bound to and may only be used with compatible RealSense\u2122 ID-enabled hardware devices (\u201cDevice\u201d).<\/p>\n\n\n\n

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.<\/p>\n\n\n\n

1. LICENSE GRANT<\/strong>
Subject to the terms of this Agreement, RealSense grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely on the Device with which it was distributed or for which it was explicitly licensed. This license is restricted to use in accordance with the documentation and only for internal, lawful purposes.<\/p>\n\n\n\n

2. RESTRICTIONS<\/strong>
You may not:
\u2022 Use the Software on any hardware device other than the originally licensed Device;
\u2022 Copy, modify, translate, reverse engineer, decompile, disassemble, or attempt to derive source code from the Software except as permitted by applicable law;
\u2022 Distribute, sublicense, rent, lease, lend, or otherwise transfer the Software to any third party;
\u2022 Remove or alter any proprietary notices or labels on the Software;
\u2022 Use the Software in any manner that violates any applicable laws, regulations, or third-party rights.<\/p>\n\n\n\n

3. OWNERSHIP AND INTELLECTUAL PROPERTY<\/strong>
The Software is licensed, not sold. RealSense and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set forth in this Agreement.<\/p>\n\n\n\n

4. UPDATES AND SUPPORT<\/strong>
RealSense may, but is not obligated to, provide updates, enhancements, or bug fixes to the Software. Such updates may be subject to additional terms and conditions. Support services are not included under this Agreement unless otherwise agreed in writing.<\/p>\n\n\n\n

5. DEVICE-BOUND LICENSE<\/strong>
This Software is cryptographically or otherwise technically bound to the Device and is not licensed for operation on any other device. Any attempt to circumvent such binding is a violation of this Agreement and may result in termination of your rights hereunder.<\/p>\n\n\n\n

6. TERMINATION<\/strong>
This Agreement is effective until terminated. Your rights under this Agreement will automatically terminate if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.<\/p>\n\n\n\n

7. DISCLAIMER OF WARRANTIES<\/strong>
THE SOFTWARE IS PROVIDED \u201cAS IS\u201d WITHOUT WARRANTY OF ANY KIND. REALSENSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK.<\/p>\n\n\n\n

8. LIMITATION OF LIABILITY<\/strong>
IN NO EVENT SHALL REALSENSE OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL REALSENSE\u2019S LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE DEVICE.<\/p>\n\n\n\n

9. COMPLIANCE WITH LAWS<\/strong>
You agree to use the Software in compliance with all applicable local, state, national, and international laws, rules, and regulations, including but not limited to data protection, biometric data, and export control laws.<\/p>\n\n\n\n

10. EXPORT RESTRICTIONS<\/strong>
The Software may be subject to U.S. and international export laws and regulations. You agree not to export, re-export, or transfer the Software in violation of any such laws or regulations.<\/p>\n\n\n\n

11. U.S. GOVERNMENT RESTRICTED RIGHTS<\/strong>
If the Software is being acquired by or on behalf of the U.S. Government, it is provided as “commercial computer software” under applicable regulations, and all rights are granted only as set forth in this Agreement.<\/p>\n\n\n\n

12. GOVERNING LAW<\/strong>
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state or federal courts in San Francisco County, California.<\/p>\n\n\n\n

13. ENTIRE AGREEMENT<\/strong>
This Agreement constitutes the entire agreement between you and RealSense regarding the Software and supersedes all prior or contemporaneous oral or written communications, proposals, or representations with respect to the Software or any other subject matter covered by this Agreement.<\/p>\n\n\n\n
